第一条 加工劳务费：

乙方欲从事起重设备安装、拆卸业务，由于甲方具有专业技术人员和丰富的实践经验、相关设备，故乙方邀请甲方向乙方提供起重设备安装、拆卸方面的有关技术服务咨询，依照《_合同法》及其他有关法律、法规，遵循平等、自愿、公平和诚实信用的原则，甲、乙双方就甲方向乙方提供设备安装、拆卸方面的技术服务、技术指导和咨询等有关事宜，充分协商，达成以下协议条款，以资共同遵守。(该合同所指的起重设备仅指物料提升机)

3、若乙方擅自以甲方名义对外拓展业务，甲方有权单方面终止本合同;
4、如乙方连续发生次事故有任何有损甲方信誉、形象的行为的，甲方有权单方面终止本合同;
5、甲方根据经营需要，可以在向乙方提交书面说明后，解除技术服务咨询关系，终止本合同的履行。
四、 乙方的权利和义务：
1、按照本合同约定及时足额向甲方支付相关技术服务、技术指导和咨询费用;
2、应当严格按照甲方提供的技术、指导要求、服务咨询内容及国家相关行业规定进行操作，否则由此产生的一切责任由乙方自行承担;
3、乙方保证做到合法经营，遵守有关法律法规，并维护好甲方的利益和声誉;
4、乙方保证按要求正确、规范使用相关设备，并承担对设备的日常管理和维护保养任务;
5、乙方保证按有关标准、规定对设备安拆进行有效管理，甲方有权随时进行监督和指导。
6、若乙方对外拓展业务或开展业务的，应当维护甲方形象，不得做出任何有损甲方商誉的行为，应当严格按照甲方的规章制度和经营许可证所规定的范围进行商誉活动，否则乙方应当承担一切相关的责任;
7、为保证合同的全面履行，乙方向甲方交纳签订本合同之时一次_纳。若乙方未违法国家法律法规、本合同、本公司等的相关规定，甲方将保证金退还给乙方。
五、违约及责任承担：
1、签订本合同后，甲方不提供相关技术指导或服务、咨询的，乙方有权要求退还咨询费及解除合同;
2、乙方对外拓展业务的，乙方不得将甲方提供的相关资料转借、转让、提供给第三方，否则甲方有权单方面解除合同，乙方向甲方支付违约金 元;
3、乙方对外拓展业务的，乙方必须委托甲方现场指导安装拆卸起重设备，否则乙方除自行承担一切后果与责任外，甲方有权单方面解除合同并要求乙方支付违约金 元;
4、若乙方的行为损害了甲方的信誉和形象的，或对甲方造成了损失，甲方有权单方面解除合同并要求支付违约金 元;
5、乙方未按有关标准、规定或甲方的要求对设备安拆进行有效管理、操作和使用的，甲方有权要求乙方进行整改，同时乙方需支付 元的违约金;出现上述情形两次或;两次以上的，甲方可以单方面解除双方的技术服务咨询合同关系;
6、乙方在安装拆卸过程中如造成人身损害或财产的损失，一切经济责任和法律责任均有乙方承担，与甲方无关。如甲方因此产生了名誉、财力及人力方面的损失，乙方应对根据甲方有权，立即无条件做相应补偿，否则每逾期一日，向甲方支付违约金 元;
7、乙方擅自提前终止本合同，视为违约，乙方所支付的技术指导与服务费不予退还，同时乙方应赔偿由此给甲方造成的全部损失。
六、纠纷解决：
本合同在履行过程中如发生争议，应本着互谅互让的原则协商解决。如协商不成，甲乙双方均有权向甲方所在地人民法院起诉。
七、本合同未尽事宜，经双方协商一致后，签订补充协议，与本合同具有同等效力。

Final version of the technical service report submitted to Client and all relevant data such as maps, plans and supporting material compiled in performing the Scope of Services, shall be the property of Client. Such materials shall be sorted and indexed by Consultant prior to transmission to Client.
Consultant shall be permitted to retain copies thereof, provided however that such materials, including the material furnished by Client as stated in Article 5 of this Contract, shall not be used by Consultant for purposes not related with this Project without the prior written approval of Client.
